“Account” means your registered NoCodeAPI account
“API Call” means a request made to NoCodeAPI’s endpoints
“Content” means any data, information, or materials you submit through the Service

2. Account Registration and Access

2.1 Account Creation

You must provide accurate, complete, and current information when registering
You must be at least 18 years old or have parental consent to use the Service
One person or entity may maintain only one free account

2.2 Account Security

You are responsible for maintaining the confidentiality of your credentials
You must notify us immediately of any unauthorized access
You are responsible for all activities under your account
We recommend enabling two-factor authentication when available

2.3 Account Accuracy

You must keep your account information up to date
We may suspend accounts with incomplete or inaccurate information
We will provide reasonable notice before suspension when possible

3. Service Plans and Pricing

3.1 Free Trial

New users receive a free trial period to evaluate the Service
Free trials include limited API calls and features as specified on our website
No credit card required for free trial
We may modify or discontinue free trial offerings at any time

3.2 Paid Plans

Pricing is based on API call volume and features selected
Current pricing is available at nocodeapi.com/pricing
We reserve the right to change pricing with 30 days notice to existing customers
Price changes do not affect your current billing cycle

3.3 Billing and Payment

Paid plans are billed monthly or annually in advance
Payment is processed through our authorized payment processors
You authorize us to charge your payment method on file
All fees are in U.S. Dollars unless otherwise stated
Failed payments may result in service suspension after notice

3.4 Taxes

Prices do not include applicable taxes
You are responsible for all sales, use, VAT, and other taxes
We will collect taxes when required by law

4. Subscription Terms

4.1 Monthly Subscriptions

Auto-renew monthly until cancelled
Cancel anytime through your account dashboard
Cancellation takes effect at the end of the current billing period
No partial refunds for unused time in the current month

4.2 Annual Subscriptions

Auto-renew annually until cancelled
Cancel anytime through your account dashboard
Cancellation takes effect at the end of the annual term
No refunds for early cancellation unless required by law

4.3 Upgrades and Downgrades

You may upgrade your plan at any time
Upgrades are prorated for the current billing period
Downgrades take effect at the next billing cycle
Downgrading may result in loss of features or data

5. Acceptable Use Policy

5.1 Permitted Use

You may use the Service to:

Build applications and integrations
Connect to supported third-party APIs
Automate workflows and processes
Test and develop software

5.2 Prohibited Activities

You may not:

Violate any laws or regulations
Infringe on intellectual property rights
Transmit viruses, malware, or harmful code
Attempt to gain unauthorized access to our systems
Reverse engineer or decompile the Service
Resell or redistribute the Service without authorization
Use the Service to spam, harass, or harm others
Exceed rate limits or abuse the Service
Share your account credentials with others
Use the Service for cryptocurrency mining
Scrape or crawl the Service without permission

5.3 API Usage Limits

You must comply with rate limits specified for your plan
We may throttle or block excessive usage
Intentional abuse may result in account termination

5.4 Third-Party Services

You are responsible for complying with third-party API terms
We are not responsible for third-party service availability
You must obtain necessary permissions to access third-party data

6. Your Content and Data

6.1 Your Data Ownership

You retain all rights to your Content
You grant us a limited license to process your Content to provide the Service
We do not claim ownership of your data

6.2 Data Storage and Backup

We store logs and metadata as necessary to provide the Service
You are responsible for backing up your critical data
We retain data according to our Privacy Policy

6.3 Data Security

We implement industry-standard security measures
We encrypt data in transit and at rest where applicable
No system is completely secure; you assume risk of data transmission

6.4 Data Deletion

Upon account termination, we will delete your data within 30 days
You can export your data before cancellation
Some data may be retained for legal or operational purposes

7. Intellectual Property

7.1 NoCodeAPI Property

The Service, including all software, designs, and documentation, is owned by NoCodeAPI
Our trademarks and logos may not be used without written permission
We grant you a limited, non-exclusive license to use the Service

7.2 Feedback

Any suggestions or feedback you provide may be used by us without obligation
You grant us a perpetual, royalty-free license to use your feedback

7.3 DMCA Compliance

We respect intellectual property rights

We will respond to valid DMCA notices according to applicable law

8. Service Availability and Support

8.1 Uptime

We strive for 99.9% uptime but do not guarantee uninterrupted service
Scheduled maintenance will be announced in advance when possible
We are not liable for downtime or service interruptions

8.2 Support

Support availability depends on your plan level
Free plans receive community support
Paid plans receive email support with specified response times
Emergency support may be available for enterprise customers

8.3 Service Modifications

We may modify, update, or discontinue features with notice
We will provide 30 days notice for material changes when feasible
Critical security updates may be made without notice

9. Termination

9.1 Termination by You

You may cancel your account at any time through your dashboard
Cancellation takes effect according to your subscription terms
You remain responsible for charges incurred before cancellation

9.2 Termination by Us

We may suspend or terminate your account if:

You violate these Terms
Your account is inactive for over 12 months (free plans)
You fail to pay fees when due
Your use threatens our systems or other users
Required by law

9.3 Notice Period

We will provide 14 days notice before termination for non-payment
We will provide 7 days notice for Terms violations when reasonable
Immediate termination may occur for serious violations

9.4 Effect of Termination

You lose access to the Service immediately or at the end of your billing period
You have 30 days to export your data after termination
No refunds are provided except as specified in Section 10

10. Refund Policy

10.1 Annual Plans

30-day money-back guarantee for new annual subscriptions
Request refunds within 30 days of initial purchase
Does not apply to renewals

10.2 Monthly Plans

No refunds for monthly subscriptions
Cancel anytime; no future charges

10.3 Service Issues

If we fail to provide service as described, contact us for resolution
We may provide credits or refunds at our discretion for significant outages

11. Warranties and Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOME JURISDICTIONS DO NOT ALLOW DISCLAIMERS OF IMPLIED WARRANTIES, SO THIS MAY NOT APPLY TO YOU.

12. Limitation of Liability

12.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR $100, WHICHEVER IS GREATER.

12.2 Excluded Damages

WE ARE NOT LIABLE FOR:

Indirect, incidental, or consequential damages
Loss of profits, revenue, or data
Business interruption
Loss of goodwill or reputation

12.3 Exceptions

These limitations do not apply to:

Our willful misconduct or gross negligence
Violations of applicable law
Liability that cannot be excluded by law

13. Indemnification

You agree to indemnify and hold NoCodeAPI harmless from any claims, damages, or expenses (including reasonable legal fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any law or third-party rights
Your Content

14. Privacy and Data Protection

14.1 Privacy Policy

Our Privacy Policy explains how we collect and use your information
By using the Service, you consent to our Privacy Policy
The Privacy Policy is incorporated into these Terms

14.2 GDPR Compliance

We comply with GDPR for users in the European Economic Area
You have rights to access, correct, and delete your personal data

14.3 Data Processing Agreement

Enterprise customers may request a Data Processing Agreement
We act as a data processor for your customer data

15. International Use

15.1 Jurisdiction

These Terms are governed by the laws of Delaware, United States
Disputes will be resolved in Delaware courts
The UN Convention on Contracts for the International Sale of Goods does not apply

15.2 Export Compliance

You must comply with all applicable export and import laws
You represent that you are not on any government restricted parties list
You will not use the Service in embargoed countries

15.3 Local Laws

You are responsible for compliance with local laws in your jurisdiction
If local law conflicts with these Terms, notify us immediately

16. Dispute Resolution

16.1 Informal Resolution

Contact us first to resolve disputes informally
We will attempt to resolve issues within 30 days

16.2 Arbitration

Disputes that cannot be resolved informally will be settled by binding arbitration
Arbitration conducted under the American Arbitration Association rules
Arbitration will be held in Delaware or remotely by agreement
You may opt-out of arbitration within 30 days of accepting these Terms

16.3 Class Action Waiver

You agree to resolve disputes individually, not as part of a class action
This waiver does not apply where prohibited by law

16.4 Small Claims Court

Either party may bring claims in small claims court instead of arbitration

17. General Provisions

17.1 Entire Agreement

These Terms constitute the entire agreement between you and NoCodeAPI
These Terms supersede all prior agreements and understandings

17.2 Modifications

We may update these Terms from time to time
Material changes will be notified via email or dashboard notice 30 days in advance
Continued use after changes constitutes acceptance

17.3 Assignment

You may not assign these Terms without our written consent
We may assign these Terms with notice to you
These Terms bind successors and permitted assigns

17.4 Severability

If any provision is found invalid, the rest remains in effect
Invalid provisions will be modified to be enforceable while preserving intent

17.5 Waiver

Our failure to enforce any right does not waive that right
Waivers must be in writing to be effective

17.6 Force Majeure

We are not liable for delays due to circumstances beyond our control
This includes natural disasters, war, terrorism, or infrastructure failures

17.7 Independent Contractors

You and NoCodeAPI are independent contractors
These Terms do not create a partnership, agency, or joint venture

Notices to you will be sent to your account email
Notices are effective upon delivery

17.9 Language

These Terms are written in English
Translations are for convenience only; English version controls
